1. Site use
These terms apply to your use of xphoenix.ai (the “Site”), operated by Phoenix AI (“Phoenix,” “we,” “us”). By accessing the Site you agree to use it lawfully and not to attempt unauthorized access, disrupt service, or misuse content.
Site content is provided for general information about Phoenix AI. Visiting the Site does not by itself create a client relationship. Features, copy, and offerings may change without notice. Specific fees appear only on booking or purchase pages — not in these Terms.
2. One-hour demo (Trial Hour)
The Phoenix Trial Hour (also described as a one-hour demo / “Build Your First Bot — Live”) is a paid, live session of approximately sixty (60) minutes, typically via Zoom, at the fee shown at booking.
The session is conducted on Phoenix systems (including the operator’s Grok Bot / Phoenix workspace). We may build a workflow-tied demo bot there and show sanitized examples of Phoenix bots in action.
- Non-refundable. Fees paid for a Trial Hour are non-refundable.
- Rescheduling. You may reschedule a booked session subject to available times and reasonable notice.
- Participants. Maximum of three (3) participants per session unless we agree otherwise in writing before the session.
- There is no transfer of intellectual property in Phoenix bots, agents, prompts, workflows, configurations, or related materials.
- Trial Hour does not include setting up the customer’s own Super Heavy / Grok accounts, and does not deliver a production bot army on the customer’s stack.
- Any path to owning a similar setup on the customer’s accounts is a separate engagement (see §3).
3. Three-month engagement
Multi-month / three-month engagements are governed by a separate written agreement (and the fee schedule shown at the time of that agreement). These Terms do not enroll you in such an engagement by themselves.
If you enter a three-month engagement with Phoenix AI: you may cancel after month one if you are unsatisfied for any reason. In that case, no further monthly fees are due for the remaining two months.
4. Confidentiality / non-disclosure
Each party agrees to treat the other party’s non-public business information as confidential and to use it only for evaluating or delivering Phoenix services.
Demos of Phoenix bots are sanitized. Customers should not share secrets (credentials, regulated data, or trade secrets they cannot risk) during a demo session.
These confidentiality obligations survive for two (2) years after cancellation of an engagement or when the engagement ends — whichever applies.
5. Intellectual property
Phoenix retains all right, title, and interest in its bots, agents, prompts, workflows, tooling, brand, and Site content. Customer retains rights in its own confidential information and materials it provides. Nothing in a Trial Hour transfers ownership of Phoenix IP to the customer.
6. Limitation of liability
To the fullest extent permitted by applicable law, Phoenix AI and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from use of the Site or participation in a Trial Hour or engagement.
Without limiting the above, our aggregate liability arising from a Trial Hour session shall not exceed the amount you paid for that session, except where liability cannot be limited under applicable law.
7. Governing law
These terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein.
